These Terms of Service ('Terms') govern your use of AcuEntry, the accounts payable automation software provided by AcuEntry ('we', 'us', 'AcuEntry'). By using AcuEntry, you agree to these Terms on behalf of yourself and the organization you represent.
AcuEntry reads invoices from a connected email inbox, extracts invoice data using automated tools including AI, matches invoices against purchase orders and receipts in your organization's Acumatica instance, and, once approved, creates corresponding Bill records in Acumatica.
You must provide accurate information when creating an account and are responsible for maintaining the security of your login credentials and for all activity that occurs under your account. You're responsible for ensuring the people you invite to your organization's AcuEntry account are authorized to act on your organization's behalf.
To use AcuEntry, you authorize us to connect to your organization's email account (Gmail or Outlook) and Acumatica instance on your behalf, using credentials and permissions you or your organization provide. You're responsible for the accuracy of those credentials and for promptly updating us if access needs to be revoked or changed. We handle this data as described in our Privacy Policy and Data Processing Agreement.
As between you and AcuEntry, you own the invoice, vendor, and business data you submit to or process through AcuEntry. We use it only to provide the service to you, as described in our Privacy Policy and Data Processing Agreement — we don't use your business data to train models for the benefit of other customers, and we don't sell it.
You agree not to:
AcuEntry uses automated tools, including AI, to extract and match invoice data. While designed to be accurate, this process can make mistakes. You're responsible for reviewing and approving invoices before they're posted to Acumatica, and AcuEntry is not liable for errors in bills you've approved.
AcuEntry and its underlying software are owned by us and are protected by intellectual property laws. Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable right to use AcuEntry for your organization's own internal business purposes.
AcuEntry is provided "as is" and "as available." Except as expressly stated in these Terms, we don't make any warranty that the service will be uninterrupted, error-free, or fully accurate, and we disclaim all other warranties, express or implied, to the fullest extent permitted by law.
To the fullest extent permitted by law, AcuEntry will not be liable for any indirect, incidental, special, or consequential damages, and our total liability arising out of or related to these Terms or the service will not exceed the fees you paid to us in the 12 months preceding the claim.
These Terms remain in effect for as long as you use AcuEntry. Either party may terminate as set out in your order form or subscription agreement, or, absent one, with reasonable written notice. On termination, we'll make your data available for export for a reasonable period and then delete it in accordance with our Privacy Policy and Data Processing Agreement.
These Terms are governed by the laws of the State of [Your State], without regard to its conflict of law principles.
We may update these Terms from time to time. If we make material changes, we'll update the "Last updated" date above and, where appropriate, notify you directly.
